It is your obligation to notify all other parties in any conversation that recording or AI-assisted monitoring is taking place, and to obtain any legally required consent before using the Service in that context. We provide the technology; how you use it is your responsibility. We do not condone use of the Service in any manner that deceives, misleads, or violates the rights of others.
By accessing or using the Service, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Service is provided as a software tool. We make no representation that any particular use is appropriate, lawful, or permitted in your jurisdiction or context.
You agree to use the Service in full compliance with all applicable local, state, national, and foreign laws, treaties, and regulations, including but not limited to:
Recording and Monitoring Notice. Because Wingman AI captures audio and/or screen content during your sessions, you are solely and exclusively responsible for notifying all other parties to any conversation that recording or AI-assisted monitoring is taking place, and for obtaining any consent required by applicable law before initiating or continuing a session. You must not use the Service in any conversation where you have not satisfied these obligations. We do not notify other parties on your behalf, and we have no visibility into the conversations you conduct.
You are solely and exclusively responsible for determining whether your use of the Service in any given context is lawful and compliant. We expressly disclaim any responsibility for your failure to comply with applicable law.
You agree not to use the Service to:
All rights, title, and interest in and to the Service, including all software, content, and technology, are and remain the exclusive property of Wingman AI and its licensors. These Terms do not grant you any right, title, or license to any intellectual property owned or licensed by us, except the limited right to use the Service in accordance with these Terms. You may not copy, reproduce, modify, distribute, or create derivative works based on any part of the Service without our prior written consent.
You agree to indemnify, defend, and hold harmless Wingman AI, its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party right.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY PARTICULAR RESULT. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND MAY NOT BE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR SPECIFIC SITUATION.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WINGMAN AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination, all licenses granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination, including Sections 5, 6, 7, 8, 10, 11, and 12, shall survive.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively by binding individual arbitration administered under the rules of the American Arbitration Association, and not in any court.
CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If for any reason a dispute proceeds in court, you waive any right to a jury trial.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date below or by other reasonable means. Your continued use of the Service following the posting of changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wingman AI with respect to the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely without restriction.
